1. Introduction
This Seller Agreement (“Agreement”) is entered into between EazyBeezy (“EazyBeezy”, “we”, “our”, or “us”) and the registered Seller (“Seller”, “you”, or “your”). By registering as a Seller on the EazyBeezy platform, you agree to be legally bound by this Agreement.
2. About EazyBeezy
EazyBeezy is an online marketplace that connects customers with independent sellers through a digital platform. EazyBeezy is not the owner, manufacturer, distributor, or retailer of products sold by third-party sellers. We act only as a technology platform and intermediary.
3. Seller Eligibility
To sell on EazyBeezy, you must:
- Be at least 18 years of age.
- Operate a legally registered business where required by law.
- Have the legal authority to sell the products you list.
- Provide accurate business and contact information.
- Maintain all licences, permits, and registrations required by applicable laws.
4. Seller Responsibilities
The Seller agrees to:
- Provide accurate product descriptions and upload truthful product images.
- Maintain correct pricing and keep inventory updated.
- Honour accepted orders.
- Deliver products to the assigned EazyBeezy driver in a timely manner.
- Comply with all applicable federal, provincial, and local laws.
5. Product Quality and Safety
The Seller guarantees that all products are safe for sale, authentic where applicable, meet all legal/regulatory requirements, match the description displayed on EazyBeezy, and are free from prohibited or illegal content.
6. Pricing
The Seller is responsible for setting product prices, ensuring prices are accurate, and updating prices when necessary.
7. Orders
The Seller agrees to accept or reject orders promptly, prepare orders accurately, package products securely, and have orders ready for driver pickup within the expected preparation time.
8. Refunds and Returns
Where a refund or return results from incorrect products supplied, expired products, damaged products before pickup, missing items, or Seller error, the Seller shall bear responsibility for the applicable refund or replacement.
9. Seller Conduct
Sellers must not sell illegal or prohibited products, mislead customers, post false product information, manipulate ratings or reviews, or commit fraud.
10. Commissions and Fees
The Seller agrees to pay any commissions, subscription fees, service fees, or transaction fees applicable under the EazyBeezy pricing plan selected by the Seller.
11. Intellectual Property
The Seller grants EazyBeezy a non-exclusive, royalty-free licence to use the Seller’s business name, logo, product images, product descriptions, and promotional content solely for operating the platform.
12. Compliance with Laws
The Seller is responsible for complying with all applicable laws relating to consumer protection, product safety, food safety, taxes, and privacy laws.
13. Suspension and Termination
EazyBeezy may suspend or terminate a Seller account if the Seller violates this Agreement or receives repeated verified customer complaints.
14. Limitation of Liability
EazyBeezy shall not be liable for product defects, manufacturing issues, seller negligence, lost profits, or business interruption.
15. Indemnification
The Seller agrees to indemnify and hold harmless EazyBeezy, its directors, officers, employees, and affiliates from any claims, liabilities, damages, or legal expenses arising from products sold by the Seller.
16. Changes to This Agreement
EazyBeezy may amend this Agreement at any time. Updated versions will be published on the platform and become effective upon publication.
17. Governing Law
This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
