This Referral Partner Agreement (“Agreement”) is entered into between EazyBeezy (“EazyBeezy”, “we”, “our”, or “us”) and the registered Referral Partner (“Partner”, “you”, or “your”). By registering as a Referral Partner on the EazyBeezy platform, you agree to comply with this Agreement.

The purpose of this Agreement is to allow Referral Partners to introduce new customers, sellers, or drivers to EazyBeezy and, where applicable, earn referral commissions or incentives according to EazyBeezy’s referral program.

The Referral Partner acknowledges and agrees that:

• The Partner is an independent contractor.
• The Partner is not an employee, agent, representative, franchisee, or partner of EazyBeezy.
• The Partner has no authority to bind EazyBeezy to any contract or obligation.
• The Partner is responsible for all taxes, expenses, and legal obligations arising from referral activities.

Referral Partners may promote EazyBeezy through personal networks, social media, events, websites, or other lawful marketing channels, refer prospective customers, sellers, and drivers to the EazyBeezy platform, and use approved marketing materials provided by EazyBeezy, where available. All promotional activities must be truthful, accurate, and professional.

Referral Partners must not:

• Make false or misleading claims about EazyBeezy.
• Guarantee earnings, profits, or business results.
• Misrepresent products, services, fees, or policies.
• Use spam, automated messaging, or unauthorized telemarketing.
• Create fake accounts or fraudulent referrals.
• Refer themselves using multiple accounts.
• Use EazyBeezy trademarks in a misleading manner.

Any fraudulent or deceptive conduct may result in immediate termination and forfeiture of unpaid commissions.

A referral qualifies for commission only if the referred person or business is genuinely new to EazyBeezy, successfully registered through the Partner’s referral code, link, or approved tracking method, passes any required verification procedures, and complies with all applicable laws and EazyBeezy policies. EazyBeezy reserves the right to determine whether a referral is valid and eligible for commission.

Referral commission amounts, payment schedules, and eligibility requirements will be determined by EazyBeezy’s current referral program and may be updated from time to time. Commissions may be withheld, adjusted, or reversed if a referral is fraudulent, a referral account is suspended or terminated, payment associated with the referral is reversed or refunded, or the Partner violates this Agreement. EazyBeezy may require minimum payout thresholds before payments are issued.

EazyBeezy grants the Referral Partner a limited, non-exclusive, revocable licence to use approved EazyBeezy names, logos, and promotional materials solely for authorized referral activities. The Partner may not modify trademarks or create materials that imply official partnership, employment, or endorsement beyond the scope of this Agreement.

The Referral Partner must keep confidential any non-public information received from EazyBeezy, including commission structures, business strategies, customer information, and internal communications. Confidential information may not be disclosed to third parties without written permission.

Referral Partners must comply with all applicable laws, including laws relating to advertising, consumer protection, privacy, anti-spam communications, and marketing practices. The Partner is solely responsible for ensuring that their promotional activities are lawful in the jurisdictions where they operate.

EazyBeezy may suspend or terminate a Referral Partner account at any time for fraudulent activity, misrepresentation, violation of this Agreement, damage to the reputation of EazyBeezy, illegal or unethical marketing practices, or any activity that creates legal, financial, or security risks for EazyBeezy. Upon termination, the Partner must immediately stop using all EazyBeezy branding and marketing materials.

To the maximum extent permitted by law, EazyBeezy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from participation in the referral program. EazyBeezy does not guarantee any minimum level of referrals, commissions, or income.

The Referral Partner agrees to indemnify and hold harmless EazyBeezy, its directors, officers, employees, contractors, and affiliates from any claims, losses, damages, liabilities, costs, or legal expenses arising from the Partner’s marketing activities, misleading statements made by the Partner, violation of applicable laws, breach of this Agreement, or infringement of third-party rights.

EazyBeezy may modify this Agreement or the referral program at any time. Updated terms will be posted on the platform and become effective upon publication. Continued participation in the referral program constitutes acceptance of the updated terms.

This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada, unless otherwise required by law.
